Terms of service

Version of 13 September 2026. Earlier versions are available on request.

These terms govern access to and use of Livery. By creating an account you agree to them, together with the acceptable use policy, the data processing agreement and the privacy notice, all of which form part of this contract.

1. Who this is between

Lauridsen SoftwareLundgårdsparken 327490 AulumDenmarkCVR: [TO BE SUPPLIED] — CVR numbersupport@liveryhq.com · liveryhq.com

And you — the freelancer, agency or business using the platform. The local businesses you build for are your clients, not ours. We have no contract with them except where they use the client portal, and that contract is for the portal only.

2. What you get

A licence to use the platform for the term of your subscription: lead research, site generation, the editor, and hosting for the sites you publish. The licence is non-exclusive, non-transferable, and lasts as long as you are a customer.

3. Who owns what

The client business owns its own content — its words, photographs, logo and domain. You own the client relationship. We own the platform and the design systems.

You may export every site you have built, in full, as structured content plus assets, and a client may export their own site from the portal. Neither of you needs our permission and neither of you needs to be paid up. What you cannot take is the rendering platform itself: the design systems are licensed for use on Livery and are not redistributable.

You grant us only the licence needed to host, render, back up and display your content in order to provide the service. We do not use your content or your clients’ content to train models.

4. What we charge

A subscription, billed monthly by Paddle, who are the merchant of record and charge VAT accordingly. Each tier includes an allowance of new sites per calendar month. Hosting of sites already created is included and does not expire, on every tier including the free one. Prices are shown before you buy; we give 30 days’ notice by email before a price change affects you, and you may cancel instead.

End-client billing is not currently offered. An earlier version of these terms described collecting subscriptions from your clients through the platform and taking a percentage. That feature is not enabled, no such fee is charged, and this paragraph replaces those statements. If it returns, it will be priced and disclosed before you use it, and never applied retroactively.

5. Your right to change your mind

If you are a consumer — buying outside your trade or profession — Danish law gives you 14 days to withdraw from a distance contract, without giving a reason. Because this is a digital service you get access to immediately, the checkout asks you to request that access and to acknowledge that doing so ends the withdrawal right once the service has been fully performed. If you have not asked for immediate access, the 14 days run normally.

Most customers here are businesses, and this right does not apply to them. It is set out because the ones it does apply to are entitled to know, and because a refund policy that quietly omits a mandatory right is unenforceable in the part that conflicts with it. See the refund policy.

6. What you are responsible for

  • The accuracy of what you publish. The generator refuses to invent certifications, testimonials or prices, and flags everything unverified — but you are the one confirming it with the business, and your name is on the invoice to them.
  • Marketing law when you contact prospects. See the acceptable use policy.
  • Being the controller for your clients’ data, with us as your processor.
  • Your account credentials, and what is done with them.
  • Having the right to publish the content and images you upload.

7. What we are responsible for

Keeping published sites available, keeping the platform secure, and telling you promptly if either fails. We do not promise a specific uptime figure, because a number written without a measured basis is worth nothing; per-site uptime is measured and reported to you and your client. The security measures we commit to are listed in clause 7 of the data processing agreement and are specific enough to hold us to.

The service is otherwise provided as it is. We do not warrant that it will be uninterrupted or error-free, or that generated copy will be accurate — see how AI is used.

8. Limits on liability

This clause matters to both of us, so it is written plainly rather than in capitals.

  • Neither of us is liable for indirect or consequential loss, lost profits, lost business, lost goodwill, or the cost of substitute services.
  • Our total liability arising out of this contract in any twelve-month period is limited to the greater of the fees you paid us in the twelve months before the claim, or €500.
  • Nothing here limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or intentional misconduct, for anything else that cannot lawfully be limited, or for a data subject’s rights under Article 82 of the GDPR.
  • If you are a consumer, nothing here reduces your mandatory statutory rights.

You indemnify us against third-party claims arising from content you publish or from your contact with prospects, except to the extent the claim is caused by our own breach.

9. Suspension and termination

You may cancel at any time from your account, in one click, effective at the end of the paid period. We do not operate retention flows or require a phone call.

We may suspend or terminate for material breach — non-payment after notice, or a breach of the acceptable use policy. Except where a site is causing active harm, we give you notice and a reasonable chance to fix it. On termination you keep the right to export everything, for 90 days, whether or not the account is in credit.

If we discontinue the service we give at least 90 days’ notice, refund the unused portion of any prepaid period, and keep exports working throughout.

10. When a client’s site is unpaid

Where you have arranged your own billing with a client, that contract is yours and we are not party to it. Sites remain hosted under your subscription regardless of whether your client has paid you.

11. Illegal content and notices

We host content on your behalf and act under the EU Digital Services Act as a hosting provider: no general monitoring, action on notice. How to report something, and what happens next, is in the acceptable use policy.

12. Changes to these terms

We give 30 days’ notice by email before a material change takes effect. If you do not accept it, cancel before it does and we refund the unused portion of the period you have paid for. Continuing to use the service after the date in the notice is acceptance.

13. Force majeure

Neither of us is liable for failure caused by something genuinely outside our control — infrastructure or network failure at a provider, state action, natural disaster. This does not excuse payment for service already delivered, and it does not excuse a failure we could have planned around.

14. Assignment

You may not transfer this contract without our consent, which will not be unreasonably withheld. We may transfer it to a successor of the business, and will tell you if that happens; if you object you may cancel and be refunded for the unused period.

15. Law and disputes

Danish law, and the courts of Denmark. If you are a consumer, you keep the protection of the mandatory rules of the country where you live and may bring proceedings there. Consumer complaints we cannot settle can go to Nævnenes Hus — see company details.

If any part of these terms is unenforceable, the rest stands.
